1. Scope
These terms apply to contracts for design, technical planning, mechanical engineering, contract manufacturing, repair, maintenance, installation, spare-part manufacture, additive manufacturing, 3D printing and related deliveries and services by BEICK Feinwerk, proprietor Michael Beick (BEICK).
They apply primarily to entrepreneurs within Section 14 BGB, legal persons under public law and special public-law funds. Conflicting customer terms apply only where BEICK has expressly agreed to them in text form. For consumers within Section 13 BGB, these terms apply only insofar as mandatory consumer-protection rules permit.
2. Quotations and conclusion of contract
Quotations are non-binding unless expressly described as binding. A contract is concluded by confirmation in text form, acceptance of a binding quotation or commencement of work at the request of the customer. The order confirmation, accepted quotation and referenced technical documents define the scope. Changes should be agreed in text form.
3. Technical documents and customer cooperation
The customer provides all necessary information, drawings, CAD data, samples, dimensions, materials, tolerances, operating conditions and safety requirements completely and on time and is responsible for their accuracy and lawful use. BEICK may rely on the information unless obvious errors or contradictions exist. Missing, late or changed information may lead to reasonable adjustments of deadlines and remuneration.
4. Design, manufacturing and technical changes
BEICK may make technically necessary or expedient changes where function, agreed characteristics and reasonableness are not materially affected. Customary and technically unavoidable deviations remain permissible within agreed or industry-standard tolerances. For production from samples or used parts, wear in the source component may influence the result. Suitability for a special purpose is owed only where expressly agreed.
5. Prices and payment
The prices stated in the quotation or order confirmation apply. For business customers they exclude statutory VAT and, where applicable, packaging, shipping, travel and incidental costs. Consumers are shown total prices including VAT. Unless otherwise agreed, invoices are payable within 14 calendar days without deduction. Statutory default rules apply. Reasonable advance or instalment payments may be agreed for customer-specific work.
6. Delivery and performance dates
Dates are binding only if expressly confirmed as binding. Periods begin once technical questions are resolved, required documents and approvals have been provided and agreed advance payments received. Force majeure and events outside the responsibility of BEICK extend periods reasonably. Statutory withdrawal rights remain applicable if an impediment continues for an unreasonable period.
7. Partial performance, dispatch and transfer of risk
Partial performance is permissible where reasonable. For business customers, risk passes on handover to the carrier or notice that goods are ready for collection. Statutory consumer rules remain unaffected.
8. Acceptance of work
Where acceptance is required by law or contract, the customer must accept work produced in accordance with the contract. Acceptance may not be refused for immaterial defects. Statutory acceptance rules otherwise apply.
9. Retention of title
Delivered goods remain the property of BEICK until the relevant claim has been paid in full. For business customers, ownership remains until all claims from the ongoing business relationship have been settled, subject to the statutory rules on extended retention of title.
10. Intellectual property, rights of use and confidentiality
BEICK retains ownership, copyright and other rights in quotations, calculations, drawings, CAD data, designs, programs, fixtures and documents. The customer receives only the rights required for the agreed purpose unless otherwise agreed. The customer warrants that supplied materials do not infringe third-party rights. Both parties keep information marked or recognisable as confidential secret, subject to statutory disclosure duties.
11. Defects
Statutory defect rights generally apply. Business customers must comply with inspection and notification duties under Section 377 HGB where applicable. BEICK may first choose repair or replacement. Further statutory rights apply if supplementary performance fails or is unreasonable. Claims do not cover normal wear, improper use, incorrect third-party installation, unsuitable operating conditions or unauthorised changes where BEICK is not responsible.
For business customers, the limitation period for defect claims is twelve months from transfer of risk or acceptance, except in cases of intent, fraud, injury to life, body or health, product liability, statutory supplier recourse or mandatory longer periods. Statutory periods apply to consumers.
12. Liability
BEICK has unlimited liability for intent and gross negligence, culpable injury to life, body or health, under product-liability law, for an assumed guarantee and in other mandatory cases. For slight negligence involving an essential contractual duty, liability is limited to the foreseeable, typical loss. Liability for other slight negligence is excluded to the extent permitted by law.
13. Consumer right of withdrawal
Consumers may have a statutory right of withdrawal for distance or off-premises contracts. Where applicable, separate information and a model withdrawal form are provided before the contract. The right may be excluded for goods made to customer specifications as permitted by law.
14. Set-off and retention
Business customers may set off only undisputed or finally adjudicated claims. A right of retention may be exercised only for claims arising from the same contractual relationship. Mandatory consumer rights remain unaffected.
15. Data protection
Personal data are processed in accordance with applicable data-protection law. Details are provided in the privacy policy on this website.
16. Consumer dispute resolution
BEICK is neither willing nor obliged to participate in dispute-resolution proceedings before a consumer arbitration body.
17. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice does not remove mandatory protection under the law of their habitual residence. If the customer is a merchant, legal person under public law or special public-law fund, Düsseldorf is the exclusive place of jurisdiction. Statutory consumer jurisdictions remain unaffected.
18. Final provisions
If an individual provision is wholly or partly invalid, the remaining provisions remain effective. The statutory rules apply in place of an invalid provision.
